Included Health has announced a strategic agreement to acquire Firefly Health, which aims to expand alternative health plans available to employers. This acquisition comes after Included Health's introduction of an alternative health plan design earlier this year, complementing its existing virtual care platform. Firefly Health, established in 2017, serves a clientele of over 20,000 individuals across the United States.
The acquisition is slated to be finalized in the third quarter of 2026, although specific financial details regarding the deal have not been made public. Owen Tripp, co-founder and CEO of Included Health, expressed that the initiative aligns with prevalent market needs as well as a longer-term vision shared by both companies for the future of health plan offerings in the country.
Tripp emphasized the deal’s significance, viewing it as a means to enhance access to care, improve health outcomes, and provide better financial solutions for members. He stated, "We see in Firefly an opportunity to accelerate the whole alternative health plan space to give members more access, to give members better care and to give members better financial outcomes." Firefly Health has established a clinically integrated health plan that has reportedly achieved over 15% savings in total care costs compared to a risk-adjusted industry benchmark.
Fay Rotenberg, CEO of Firefly Health, noted that their model not only enhances chronic condition outcomes by 50% to 80%, but also boasts a 90% member satisfaction rate. She believes that the combined strengths of both companies will significantly broaden the reach and effectiveness of alternative health plans across the United States.
The upcoming merger is expected to merge Included Health's AI-powered virtual care capabilities with Firefly's integrated health plan, which includes an extensive network of 2,300 healthcare providers and facilities nationwide. This combination is designed to create a streamlined health plan alternative aimed at delivering long-term cost savings to employers while offering broader access to quality care.
In light of rising healthcare costs projected by PwC, which anticipates a 9% increase in medical costs in 2027, the acquisition is timely. The two companies underscore the importance of investing in primary care as a method to reduce unnecessary costs. Tripp remarked on their shared vision for creating a cohesive benefits experience that minimizes friction and improves overall employee health.
Included Health aims to leverage four key differentiators following the acquisition: comprehensive nationwide care delivery, network optimization, a dynamic plan design, and a concierge member experience. Tripp asserted that this approach would not only improve access to top-tier healthcare providers but also enhance the overall quality of care offered to employees across the country. This positions Included Health and Firefly Health uniquely against competitors, most of whom focus on only one or two strategic elements.
According to recent data from WTW, around 41% of employers are currently employing alternative health plan designs, with an additional 46% either considering or planning to adopt such options within the next two years. This trend reflects a growing interest in controlling healthcare expenses while striving to prevent excessive cost shifts onto employees.
Rotenberg pointed out that a significant portion of employers is gravitating towards alternative health plans, which reinforces the potential market impact of the acquisition. The alignment of both companies' goals demonstrates an ongoing commitment to not only enhance clinical health but also to ensure financial health for members, marking a significant shift in the employer health benefits landscape.
